Job Description:

Role Summary/Purpose:

This VP Counsel position reports to the SVP - Senior Marketing Counsel within the Legal Marketing Team. This team provides legal counsel and guidance, supporting key Growth and Corporate initiatives. This position is the legal subject matter expert for account acquisition processes, documentation and disclosures in all channels for Synchrony open end and closed end credit products. In addition, this position is responsible for ensuring files with personally identifiable information and all marketing campaigns are evaluated to reduce the risk of fair lending and privacy issues, and in connection therewith, manages a resource who reviews privacy data forms and privacy policies. In addition, this position provides Digital Communications expertise to the business and is the manager of four Legal Marketing Partners that handle the Health and Wellness Platform clients as part of their responsibility. This position is often involved in high profile company-wide initiatives which in the past have included implementation of compliance with NY Rewards Law, SSA/eCBS initiative , and test application processes (e.g., prequalification, soft apply , instore Installment).

Essential Responsibilities:

Provide legal advice to the business on client specific customer acquisition documents, processes and channels across Synchrony Bank including at point of sale, over the phone, second source, iPad, and mobile; collaborate with commercial and business development counsel to ensure all documents align with client program agreements

Develop, maintain and improve application and account opening disclosures, agreements, and privacy notices, working closely with the business and keeping up with relevant developments in the industry and law to help formulate business strategies in anticipation of and in response to such changes.

Active role in new client integrations and changes to existing processes for current clients.

Work with SVP, Chief Regulatory and Banking Counsel to develop and implement Digital Communication legal guidance

Develop training and provide feedback to the marketing and client teams regarding use of customer documentation templates and unique client terms

Work with business on prime rate collateral reviews and lead necessary documentation changes

Primary legal support for certain Regulation Z requirements including change in terms notification, replacement terms process, cardholder agreement filings and online posting

Provide advice and partner with the business on various marketing acquisition initiatives such as upgrades, prequalifications, multi product qualification, soft apply process, prescreens and quickscreens

Partner with Fair Lending Counsel/Officer, Privacy Counsel/Officer and Platform General Counsels and manage a resource to ensure Synchrony Bank information is shared in accordance with applicable law, client program agreements, consumer expectations and internal policies

Lead and manage a team of four Legal Marketing Partners, who have responsibility for Health and Wellness Platform clients and partner with CMO and General Counsel of such Platform to ensure consistent product messaging

Collaborate with Compliance and the business on potential remediation issues

Support certain business-to-business marketing collateral reviews

Perform other duties and/or special projects as assigned

Qualifications/Requirements:

Bachelor's Degree and J.D. with 7+ years of relevant law firm or in-house experience; in-house qualification in state where position is located, if required

In-depth knowledge and experience providing advice on consumer finance/banking laws and regulations.

Demonstrated ability to successfully manage multiple complex initiatives and projects simultaneously in a matrix environment across competing priorities and across multiple functions and platforms and to develop tools and templates to manage consistency and compliance of documents across a large and diverse client base

Proven experience requiring strong judgment and ability to understand and balance business/legal considerations

Desired Characteristics:

Experience with privacy and credit documentation highly desirable

Experience managing a team of highly trained professionals

Ability to understand business systems and processes and incorporate their impact into the development of cardholder communications

Dynamic, positive, proactive; flexible out-of-the box thinker and effective problem solver

Excellent written and oral communication with the ability to succinctly explain complex issues

Strong influencing skills with the ability to collaborate effectively within a matrixed environment at all levels of the organization

Prior managerial experience

Experience with Microsoft Suite including: Word, Excel, PowerPoint and Outlook or comparable software application

Grade/Level: 14

The salary range for this position is 150,000.00 - 250,000.00 USD Annual and is eligible for an annual bonus based on individual and company performance.

Actual compensation offered within the posted salary range will be based upon work experience, skill level or knowledge.

Salaries are adjusted according to market in CA, NY Metro and Seattle.

Eligibility Requirements:

You must be 18 years or older

You must have a high school diploma or equivalent

You must be willing to take a drug test, submit to a background investigation and submit fingerprints as part of the onboarding process

You must be able to satisfy the requirements of Section 19 of the Federal Deposit Insurance Act.

New hires (Level 4-7) must have 9 months of continuous service with the company before they are eligible to post on other roles. Once this new hire time in position requirement is met, the associate will have a minimum 6 months' time in position before they can post for future non-exempt roles. Employees, level 8 or greater, must have at least 18 months' time in position before they can post. All internal employees must consistently meet performance expectations and have approval from your manager to post (or the approval of your manager and HR if you don't meet the time in position or performance expectations).
