A law firm is seeking a highly skilled Corporate/Music Associate Attorney to join their team in Los Angeles, CA. The ideal candidate will have 4-6 years of experience working in prominent law firms' corporate and music departments. This role involves handling diverse corporate and music-related legal matters, including drafting and reviewing complex agreements, managing transactions, and coordinating due diligence.
Duties and Responsibilities
- Draft and review various agreements, including asset purchase agreements, stock purchase agreements, recording contracts, publishing contracts, producer agreements, songwriting agreements, tour agreements, and management agreements.
- Manage and oversee mergers and acquisitions in the music space, including music catalog sale due diligence.
- Handle corporate governance and investment documents, including operating agreements, shareholder agreements, and other related documents.
- Coordinate copyright due diligence and trademark searches in collaboration with IP counsel.
- Provide legal support for acquisition and sale deals, working closely with partners.
- Ensure compliance with all relevant laws and regulations in the corporate and music sectors.
- Maintain strong organizational and time management skills to manage multiple tasks efficiently.
- Keep abreast of changes in laws and regulations affecting the corporate and music industries.
Requirements
- Juris Doctorate (JD) from an accredited law school.
- Admission to practice law in California.
- 4-6 years of experience in prominent law firms' corporate and music departments or equivalent.
- Proven experience with asset purchase agreements, stock purchase agreements, recording contracts, and other music-related contracts.
- Experience with music catalog sale due diligence.
- Demonstrated ability to handle mergers and acquisitions in the music industry and standard music transactions.
