OVERVIEW:
DICK'S Sporting Goods is seeking a highly skilled and experienced Senior Corporate Counsel to join their growing in-house legal team, focusing on legal matters related to DICK'S digital marketing and media network. This role offers a unique opportunity to work at the intersection of emerging technologies, advertising, and retail, to collaborate with cross-functional stakeholders to provide strategic legal support related to DICK'S digital marketing strategies. The ideal candidate will bring 7+ years of experience and a digital-first solution-oriented mindset and deep understanding of technology and digital media, as well as advertising, privacy, and IP laws. This position is ideal for an attorney with a growth and data-driven mindset who thrives in a collaborative, fast-paced, and dynamic environment.
Key Responsibilities:
Advice and Counsel (40%)
- Provide strategic legal advice and counsel on a variety of matters related to digital advertising, emerging technology and retail media networks, including:
- Advertising Law and AdTech
- Advise on advertising laws and best practices, truth-in-advertising and Federal Trade Commission (FTC) guidelines.
- Ensure compliance with global, federal, and state laws related to privacy, consumer protection, advertising, and e-commerce.
- Review and approve marketing materials, including digital, in-store, and social media campaigns, to mitigate legal risks.
- Data Privacy and Security
- Partner with the privacy and compliance teams to ensure advertising practices align with data governance practices, data privacy laws, including GDPR, CCPA, and other applicable regulations.
- Synthesize regulatory issues and legal implications to provide guidance on the use of first-party and third-party data in targeted advertising and analytics.
- Retail Media
- Provide legal guidance for the operation and growth of the company's retail media network, including self-service advertising platforms, sponsored products, and programmatic advertising.
- Advise on monetization strategies, partnership agreements, and competitive positioning within the retail media space.
- Intellectual Property
- Counsel on intellectual property issues related to advertising, trademarks, copyrights, and licensing agreements.
- Address claims related to advertising content, such as false advertising or copyright infringement.
- Regulatory and Industry Standards
- Monitor and advise on evolving laws and industry best practices in advertising, media, and digital marketing.
- Support audits, investigations, and responses to regulatory inquiries.
- Work closely with cross-functional teams, including marketing, technology, and operations, to offer business-minded, solution-focused support for campaigns, brand initiatives, and other business goals.
Contract Negotiation, Drafting, and Design (30%)
- Develop and manage strategic contractual frameworks to streamline the contracting process for internal and external stakeholders.
- Key contract types include internet advertising/retail media network terms, insertion orders, data processing agreements (DPAs), clean room and data collaboration agreements, licenses, partnerships, technology and SaaS agreements, and talent/influencer agreements. Draft, review, and negotiate contracts related to advertisers, agencies, technology partners, talent, production partners, and vendors.
Outside Counsel Interaction (10%)
Identify emerging legal issues and collaborate with outside counsel on matters related to advertising laws, intellectual property, regulatory compliance, and dispute resolution.
Subject Matter Expertise (10%)
- Provide subject matter expertise on topics such as retail media networks, advertising laws, trademarks, copyright, NIL (Name, Image, Likeness), claims management, and privacy regulations.
- Knowledge of accounting/finance principles and retail operations is preferred.
Department Collaboration (10%)
- Participate in legal department projects, processes, and initiatives.
- Collaborate with other Legal team members and consider financial implications when advising stakeholders.
QUALIFICATIONS:
Education Requirements:
- JD from an accredited law school (required).
- MBA or similar business-related degree is preferred.
Experience Requirements:
- 7+ years of legal experience, with a strong foundation in both law firm and corporate legal department settings.
- Expertise in advertising, media law, privacy law, intellectual property, and technology agreements.
- Experience working with retail media networks is strongly preferred.
Licensing and Certifications:
- Admitted to the Bar in Pennsylvania (required).
- Additional certifications in business or technology-related fields (e.g., MBA) are preferred.
Skills and Competencies:
- Strong negotiation skills with a focus on creating efficient, business-friendly contracts.
- Ability to provide clear, actionable, and strategic legal advice across a variety of disciplines.
- Experience managing complex legal issues in a fast-paced, high-growth environment.
