A law firm is seeking a highly skilled Corporate/Music Associate Attorney to join their team in Los Angeles, CA. The ideal candidate will have 4-6 years of experience working in prominent law firms' corporate and music departments. This role involves handling diverse corporate and music-related legal matters, including drafting and reviewing complex agreements, managing transactions, and coordinating due diligence. Duties and Responsibilities Draft and review various agreements, including asset purchase agreements, stock purchase agreements, recording contracts, publishing contracts, producer agreements, songwriting agreements, tour agreements, and management agreements. Manage and oversee mergers and acquisitions in the music space, including music catalog sale due diligence. Handle corporate governance and investment documents, including operating agreements, shareholder agreements, and other related documents. Coordinate copyright due diligence and trademark searches in collaboration with IP counsel. Provide legal support for acquisition and sale deals, working closely with partners. Ensure compliance with all relevant laws and regulations in the corporate and music sectors. Maintain strong organizational and time management skills to manage multiple tasks efficiently. Keep abreast of changes in laws and regulations affecting the corporate and music industries. Requirements Juris Doctorate (JD) from an accredited law school. Admission to practice law in California. 4-6 years of experience in prominent law firms' corporate and music departments or equivalent. Proven experience with asset purchase agreements, stock purchase agreements, recording contracts, and other music-related contracts. Experience with music catalog sale due diligence. Demonstrated ability to handle mergers and acquisitions in the music industry and standard music transactions. Skills Strong drafting and legal writing skills. Excellent organizational and time management capabilities. Detail-oriented with a high level of accuracy. Ability to work collaboratively with team members and partners. Strong analytical and problem-solving skills. Proficiency in coordinating due diligence and legal research. Education and Certifications Juris Doctorate (JD) required.
