One of America's largest retailers is seeking a growth-oriented Paralegal or Contracts Manager with extensive expertise to bolster their commercial transactions, marketing, and intellectual property endeavors. This pivotal role is vital to the success of their commercial transactions team and necessitates leadership, exceptional interpersonal skills, and a strong work ethic.
Responsibilities
Technical Skills:
- Collaborate with attorneys to review, draft, and negotiate terms and conditions for various business-to-business commercial transactions, encompassing technology agreements, services contracts, sponsorships, statements of work, and non-disclosure agreements.
- Assist in drafting, reviewing, and negotiating commercial agreements for our consumer-facing products, such as terms of use, terms of service, and order forms.
- Coordinate stakeholder reviews for specific contractual provisions, engaging with business stakeholders, information technology, information security, risk management, and finance.
- Oversee document finalization and signature processes.
- Collaborate with our products and legal teams to oversee and manage the trademark portfolio.
- Work alongside marketing and legal teams to offer research, guidance, and educational materials to streamline engagement on marketing/advertising initiatives.
Business Advisory:
- Create summaries of significant transactions to support business teams executing on business relationships.
- Offer guidance to business stakeholders on contract interpretation.
- Develop educational materials to aid business stakeholders in understanding contract interpretation, marketing regulations, and IP protection.
Process and Innovation:
- Identify opportunities for process enhancements in the commercial transactions process, spanning matter intake, negotiation, finalization, signature, and post-signature contract management.
- Evaluate opportunities for streamlining trademark portfolio management.

Minimum Qualifications
- Bachelor's degree or substantial paralegal and/or contracts management experience, preferably gained in a large firm or in-house legal or procurement department.
- 8+ years' experience in commercial transactions.
- Superior technical skills, including proficiency in preparing and redlining documents in Microsoft Word and a working knowledge of Excel.
