Our client, a leading performance advertising company headquartered in New York City, is seeking a highly skilled Corporate Tax Manager to join their dynamic finance team. Job Description
Key Responsibilities:
- Tax Provision and Compliance (40-50%)
- Lead the preparation and review of the company's quarterly and annual tax provision (ASC 740), ensuring accurate and timely filing in compliance with U.S. Generally Accepted Accounting Principles (GAAP).
- Perform technical reviews and analyses of tax calculations, including deferred tax assets/liabilities, uncertain tax positions, and effective tax rate (ETR) reconciliations.
- Collaborate with external auditors to support the audit of the tax provision, ensuring compliance with SOX 404 internal controls.
- Own the process of completing detailed tax provision templates, including reconciliation of tax accounts, effective tax rate analysis, and transfer pricing adjustments.
- SOX Compliance and Internal Controls (40-50%)
- Assist in maintaining and enhancing internal controls over financial reporting, ensuring compliance with SOX 404 requirements.
- Lead the documentation and testing of tax-related SOX controls, identifying any gaps in controls and working cross-functionally to implement corrective actions.
- Coordinate with internal audit and external auditors to support testing of SOX controls and tax-related audit processes.
- Tax Planning
- Support tax planning initiatives by providing advice on tax-effective structures and transactions, including mergers, acquisitions, and restructuring.
- Analyze the tax implications of business decisions and identify opportunities for tax efficiency in both domestic and international contexts.
- Collaborate with senior leadership to develop and implement strategies to minimize corporate tax liabilities, including review of corporate tax structures, credits, incentives, and deductions.
- Stay updated on changes in tax laws and regulations to ensure proactive tax planning and risk mitigation strategies are in place.
- Corporate Tax Compliance
- Oversee the preparation and filing of federal, state, and local income tax returns, ensuring compliance with tax regulations across the company's operations in 26 states.
- Coordinate and manage the tax filing calendar to ensure all returns are filed accurately and on time, including extensions, estimated payments, and responses to tax notices.
- Assist with audits and inquiries from federal, state, and local tax authorities, working with external advisors when necessary.
- Prepare and file sales tax returns, as applicable, for states where the company has nexus.
- Collaboration and Leadership
- Partner with cross-functional teams, including finance, accounting, legal, and operations, to address tax-related matters that affect business operations and strategic decisions.
- Provide mentorship and guidance to junior tax staff and assist in their professional development.
- Maintain open communication with senior management to advise on tax strategy, risk, and opportunities.

The Successful Applicant
Qualifications:
- Experience:
- 5+ years of experience in corporate tax, with a focus on tax provision (ASC 740), SOX controls, tax compliance, and tax planning.
- Experience in a multistate environment is highly preferred, as the company operates in 26 states.
- Proven track record in managing complex federal, state, and local tax compliance for a mid-to-large size corporation.
- Technical Skills:
- Deep knowledge of ASC 740 (tax provision) and SOX 404 compliance.
- Strong technical skills in corporate tax law, including federal, state, and local tax regulations.
- Experience with tax research and the application of tax law to real-world business scenarios.
- Proficiency in tax compliance software, ERP systems (e.g., Oracle, SAP, or similar), and Microsoft Excel.
- Education:
- Bachelor's degree in Accounting, Finance, Taxation, or a related field.
- CPA or JD/LL.M. preferred but not required.
- Personal Attributes:
- Strong analytical skills with an ability to interpret complex tax rules and regulations.
- Highly organized, detail-oriented, and capable of managing multiple projects and deadlines.
- Ability to communicate complex tax matters clearly to non-tax professionals and senior management.
