ASSOCIATE COUNSEL, ELEVATE CREATIVE – OVERVIEW:

Elevate is seeking an attorney to join its growing legal team. The Associate Counsel, Elevate Creative will report directly to Elevate’s Corporate Counsel and will be responsible for supporting Elevate’s legal team in managing Elevate’s Creative vertical in all aspects of its legal and compliance functions, including drafting, reviewing, and negotiating commercial contracts, applying for and/or maintaining required licenses and permits for Elevate Creative’s various projects, and researching, analyzing and summarizing questions or issues of law related to Elevate Creative’s various projects and operations. This is

NOT

a remote position – a physical presence in Elevate’s Charlotte, NC HQ office and/or its Nashville, TN office on a regular basis will be required.

RESPONSIBILITIES:

Prepare, review and negotiate client contracts and various other types of commercial agreements in support of Elevate Creative’s various projects, including master services agreements, construction/development contracts, architectural design/engineering services contracts, subcontractor agreements, consulting/freelance design agreements, etc.Apply for, maintain, and renew licenses, permits, and registrations in the various jurisdictions in which Elevate Creative has projects or operations, in coordination with Elevate’s legal department, outside counsel and financial/tax advisors.Establish, maintain and improve processes and procedures for subcontractor/vendor onboarding and compliance checks.Oversee and manage Elevate Creative’s insurance program and policies in conjunction with Elevate’s insurance advisors, including obtaining/reviewing certificates of insurance received from subcontractors and other vendors, and applying for and obtaining project-specific insurance policies as may be required.Assess legal and operational risks and provide guidance to Elevate’s legal department, Elevate Creative’s management, and other internal stakeholders regarding current and future planned projects and operations for Elevate Creative.Maintain current knowledge of applicable federal, state and local laws and regulations applicable to Elevate Creative’s projects and operations and monitor regulatory developments to ensure adaptation and compliance.Research a variety of legal issues, with an emphasis on construction and design-related law, and provide clear, concise advice and recommendations to Elevate’s legal department, Elevate Creative management and other internal stakeholders.Assist Elevate’s legal team in handling all litigation matters, including managing outside counsel in the litigation process.Retain and manage outside counsel for various matters as needed, ensuring effective and efficient representation.Assist with any other duties or initiatives as designated by Elevate’s legal team from time-to-time, including handling legal functions or processes for Elevate’s other verticals or service offerings, assisting Elevate’s corporate development team with organic and inorganic growth initiatives, and preparing, reviewing and negotiating employment agreements, bonus and commission plans and other employment-related documentation, among other things.QUALIFICATIONS:

Undergraduate degree and J.D. from an accredited law school.Must be active and in good standing in one State Bar in the United States, preferably North Carolina or Tennessee.2-5+ years of experience at a top law firm or in-house at a major corporation.Substantial experience in the practice of construction or architectural/environmental design-related law, including a deep understanding of the construction/development process and stakeholders and familiarity with AIA form contracts or similar agreements such as Architectural/Design Services Agreements, Design-Build Contracts, Development Support Agreements, etc.Direct experience representing a design studio, architectural firm, general contractor or other similar business is preferred.B. Knowledge/Skills/Abilities

Excellent contract drafting and negotiating skills, with direct experience drafting, reviewing and negotiating complex contracts or agreements for construction or development projects.Great written and oral communication skills, with the ability to distill complex legal concepts and/or risks into easily understandable and actionable insights for Elevate’s legal team and Elevate Creative’s management.Strong analytical and problem-solving skills.Ability to manage change effectively, deal well with ambiguity/uncertainty and adapt quickly.Effective time management and organizational skills necessary to thrive in a fast-paced environment while responding quickly and effectively to changing or evolving priorities.Willingness and ability to work independently and take personal accountability for assigned tasks or projects.Relentless work ethic and attention to detail.Desire to learn new skills (both legal and non-legal) and tackle any task assigned by Elevate’s legal team or Elevate Creative’s management.Willingness to work extended hours from time-to-time as required.Passion for the sports industry, venues and venue design, and working with creative-minded stakeholders.POSITION AND BENEFITS DETAILS:

Travel Requirements

Travel will not be frequent but may be required on occasion.The expectation is that travel to Elevate’s Charlotte, NC office will be undertaken should the candidate ultimately decide to work primarily out of Elevate’s Nashville, TN office.Physical Demands
